What This Means (2025 FDD)

According to Canopy Lawn Care's 2025 Franchise Disclosure Document, the franchise agreement is governed by and construed in accordance with the substantive laws of the State of Missouri, without regard to its conflict of law principles. This means that if there are any legal disputes regarding the franchise agreement, Missouri law will be used to interpret and resolve the issues.

For a prospective franchisee, this is important because it establishes the legal framework within which the franchise operates. It provides clarity on which state's laws will be applied in case of disagreements or legal proceedings. Franchisees should familiarize themselves with key aspects of Missouri law that may affect their rights and obligations under the franchise agreement.

It is common for franchise agreements to specify a particular state's law to govern the agreement. This provides predictability and consistency in legal interpretations. However, franchisees should be aware that this may require them to engage legal counsel familiar with Missouri law if disputes arise, regardless of where their franchise is located.
