If Canopy Lawn Care modifies or discontinues a Mark, what costs will they reimburse the franchisee for?
Canopy_Lawn_Care Franchise · 2025 FDDAnswer from 2025 FDD Document
You must modify or discontinue the use of a Mark if we modify or discontinue the Mark. If this happens, we will reimburse you for your tangible out of pocket cost of compliance (for example, changing letterhead and business cards). You must not directly or indirectly contest our rights to the Marks, or any other trademarks, trade names, service marks, logos, trade secrets or business techniques that are part of our business.

What This Means (2025 FDD)
According to Canopy Lawn Care's 2025 Franchise Disclosure Document, if Canopy Lawn Care modifies or discontinues the use of a Mark, they will reimburse the franchisee for their tangible out-of-pocket costs of compliance. This reimbursement specifically covers expenses like changing letterhead and business cards.
This means that if Canopy Lawn Care decides to change its branding, logo, or other trademarks, franchisees will be required to update their materials to reflect the new branding. Canopy Lawn Care will cover the direct costs associated with these changes, such as reprinting stationery or business cards. However, it is important to note that the reimbursement is limited to tangible, out-of-pocket costs. This suggests that it may not cover indirect costs such as lost time or potential impacts on marketing materials beyond basic stationery.
It is fairly standard practice in franchising for the franchisor to control the brand's trademarks and to require franchisees to adhere to brand standards. Franchise agreements typically address scenarios where the franchisor updates or changes its trademarks, and often include provisions for how franchisees will be compensated for the costs of updating their materials. Prospective franchisees should clarify with Canopy Lawn Care what specific types of expenses are considered 'tangible out of pocket cost of compliance' to fully understand the scope of the reimbursement.
