What This Means (2025 FDD)
According to Canopy Lawn Care's 2025 Franchise Disclosure Document, if a schedule includes a charge for maintenance, the vehicle(s) covered by the schedule are subject to a separate maintenance agreement between Enterprise Fleet Management, Inc. and the franchisee (Lessee). Canopy Lawn Care (Lessor) has no liability for Enterprise Fleet Management, Inc.'s failure to perform its obligations or reimburse the franchisee for maintenance or repair costs.
This arrangement means that while the franchisee makes payments to Canopy Lawn Care that include a charge for maintenance, the actual maintenance is handled by a third party, Enterprise Fleet Management, Inc. Any issues regarding the maintenance or repairs of the vehicles are the responsibility of Enterprise Fleet Management, Inc., and not Canopy Lawn Care.
For a prospective Canopy Lawn Care franchisee, this highlights the importance of understanding the terms of the separate maintenance agreement with Enterprise Fleet Management, Inc. The franchisee should carefully review this agreement to understand the scope of maintenance services provided, the process for obtaining repairs, and any limitations or exclusions. This also means that the franchisee will need to manage two separate relationships: one with Canopy Lawn Care for the lease of the vehicle and another with Enterprise Fleet Management, Inc. for its maintenance.
This type of arrangement is not uncommon in the franchise industry, where franchisors may outsource certain functions to specialized third-party providers. However, it is crucial for the franchisee to understand the division of responsibilities and potential liabilities in such arrangements.
