What This Means (2025 FDD)
According to the 2025 Canopy Lawn Care FDD, the specific details of a franchisee's designated territory, including its boundaries and population base, are outlined in Attachment A of the Franchise Agreement. This attachment is incorporated by reference into the agreement, making it a legally binding part of the contract.
The FDD specifies that as long as the franchisee complies with their obligations under the agreement, Canopy Lawn Care will not establish or license another entity to operate a Lawn Care Business using the licensed marks within the franchisee's designated territory. However, Canopy Lawn Care retains certain rights, such as the right to use the marks for operations outside the territory, use other trademarks, and market on the internet.
Prospective franchisees should carefully review Attachment A to fully understand the scope and limitations of their territory. It is important to note that the franchise granted is non-exclusive, and Canopy Lawn Care retains various rights that could impact the franchisee's business, such as marketing on the internet and providing services to national accounts, even within the franchisee's territory.
