Answer from 2025 FDD Document

Additionally, all Copyrighted Materials created by Franchisee or any other person or entity retained or employed by Franchisee are works made for hire within the meaning of the United States Copyright Act and are the property of Franchisor or its Affiliate, who shall be entitled to use and license others to use the Copyrighted Materials unencumbered by moral rights.

To the extent the Copyrighted Materials are not works made for hire or rights in the Copyrighted Materials do not automatically accrue to Franchisor or its Affiliate, Franchisee irrevocably assigns and agrees to assign to Franchisor and/or its Affiliates (as Franchisor directs), and their respective successors and assigns, the entire right, title, and interest in perpetuity throughout the world in and to any and all rights, including all copyrights and related rights, in such Copyrighted Materials, which Franchisee and the author of such Copyrighted Materials warrant and represent as being created by and wholly original with the author.

Where applicable, Franchisee agrees to obtain any other assignments of rights in the Copyrighted Materials from another person or entity necessary to ensure Franchisor's right in the Copyrighted Materials as required in this Section 10.1(b).

  • (c) Franchisee will never dispute, contest, or challenge, directly or indirectly, the validity or enforceability of the Marks or Copyrighted Materials or the ownership of the Marks or Copyrighted Materials by Franchisor and its Affiliates, nor counsel, procure, or assist anyone else to do the same, nor will it take any action that is inconsistent with the ownership of the Marks or Copyrighted Materials by Franchisor and its Affiliates, nor will it represent that it has any right, title, or interest in the Marks or Copyrighted Materials other than those expressly granted by this Agreement.

What This Means (2025 FDD)

According to Canopy Lawn Care's 2025 Franchise Disclosure Document, franchisees play a crucial role in protecting the franchisor's rights to its Copyrighted Materials. This includes artwork, designs, and other materials associated with the business. Franchisees must use these materials only in approved formats, such as advertising, promotional items, and signage, as specified by Canopy Lawn Care. They must also adhere to any instructions provided in the manual or otherwise communicated by the franchisor regarding the use of these materials.

To further protect Canopy Lawn Care's copyright, franchisees are required to include a copyright notice on all advertising, promotional, and other materials used in connection with their services. The notice should read: "© (year of first publication). CANOPY FRANCHISE CORPORATION, All Rights Reserved." Additionally, franchisees must use the appropriate trademark symbols (®), (™), or (SM) as directed by Canopy Lawn Care when using the Marks.

Moreover, franchisees cannot dispute the validity or ownership of the Copyrighted Materials. If a franchisee creates any Copyrighted Materials, they must assign all rights to those materials to Canopy Lawn Care, ensuring that the franchisor maintains full control and ownership. This includes obtaining necessary assignments from anyone else involved in creating such materials. If Canopy Lawn Care determines that the use of Copyrighted Materials infringes upon a third party's rights or weakens Canopy Lawn Care's rights, the franchisee must immediately stop or modify the use of those materials as instructed by Canopy Lawn Care.
