    1. We reserve the right to use the Marks and the System to sell any products or services, similar to those, which you will sell, through any alternate channels of distribution within or outside of the Territory. This includes retail locations and other channels of distribution such as television, mail order, catalog sales, wholesale to unrelated retail outlets, or over the Internet. We exclusively reserve the Internet as a channel of distribution for us, and you may not independently market on the Internet or conduct e-commerce. If we use the Marks to sell the Products and Services that you must sell to a customer in your Territory over the Internet, we or our supplier and manufacturers may, in our sole discretion, provide you with a credit in an amount solely determined by us.

What This Means (2025 FDD)

According to Canopy Lawn Care's 2025 Franchise Disclosure Document, Canopy Lawn Care exclusively reserves the Internet as a distribution channel. As a franchisee, you are explicitly prohibited from independently marketing on the internet or conducting e-commerce activities. This restriction means that Canopy Lawn Care controls all online sales and marketing efforts, which could impact a franchisee's ability to generate leads and sales through online channels.

If Canopy Lawn Care uses its brand to sell products and services online within a franchisee's territory, the franchisee may receive a credit. The amount of this credit is determined solely by Canopy Lawn Care or its suppliers and manufacturers. This arrangement means that while Canopy Lawn Care retains control over internet sales, there is a mechanism for compensating franchisees when online sales occur within their territory, although the specifics of this compensation are at Canopy Lawn Care's discretion.

Furthermore, franchisees are restricted from using other channels of distribution, including the Internet, catalog sales, or telemarketing, outside their territory. Marketing or advertising outside the designated territory without approval from Canopy Lawn Care constitutes a breach of the Franchise Agreement and could lead to termination. This policy underscores the importance of adhering to the defined territory and approved marketing strategies to remain compliant with the franchise terms.
