What is the duration of the assignment of rights for Copyrighted Materials created by a Canopy Lawn Care franchisee?
Canopy_Lawn_Care Franchise · 2025 FDDAnswer from 2025 FDD Document
Additionally, all Copyrighted Materials created by Franchisee or any other person or entity retained or employed by Franchisee are works made for hire within the meaning of the United States Copyright Act and are the property of Franchisor or its Affiliate, who shall be entitled to use and license others to use the Copyrighted Materials unencumbered by moral rights.
To the extent the Copyrighted Materials are not works made for hire or rights in the Copyrighted Materials do not automatically accrue to Franchisor or its Affiliate, Franchisee irrevocably assigns and agrees to assign to Franchisor and/or its Affiliates (as Franchisor directs), and their respective successors and assigns, the entire right, title, and interest in perpetuity throughout the world in and to any and all rights, including all copyrights and related rights, in such Copyrighted Materials, which Franchisee and the author of such Copyrighted Materials warrant and represent as being created by and wholly original with the author.

What This Means (2025 FDD)
According to Canopy Lawn Care's 2025 Franchise Disclosure Document, if a franchisee creates any copyrighted materials, Canopy Lawn Care or its affiliate will own those materials. To the extent that the Copyrighted Materials are not works made for hire or rights in the Copyrighted Materials do not automatically accrue to Franchisor or its Affiliate, Franchisee irrevocably assigns and agrees to assign to Franchisor and/or its Affiliates (as Franchisor directs), and their respective successors and assigns, the entire right, title, and interest in perpetuity throughout the world in and to any and all rights, including all copyrights and related rights, in such Copyrighted Materials. This assignment of rights is in perpetuity, meaning it lasts forever.
This means that any artwork, designs, or other materials a Canopy Lawn Care franchisee creates related to the business automatically become the property of the franchisor. The franchisee gives up all rights to these materials, including copyrights, permanently. Canopy Lawn Care can then use and license these materials without any restrictions or concerns about moral rights, which protect the author's reputation.
This clause is significant because it ensures Canopy Lawn Care maintains control over all aspects of its brand and marketing. It prevents franchisees from independently profiting from or controlling creative works associated with the Canopy Lawn Care brand. Prospective franchisees should understand that they will not retain any ownership of materials they create for the business, which is a fairly standard practice in franchising to protect the brand's intellectual property.
