Can Canopy Lawn Care change the Dwelling Limit at any time?

Canopy_Lawn_Care Franchise · 2025 FDD

Answer from 2025 FDD Document

We reserve the right to change, modify, or delete the Dwelling Limit in our sole discretion. We will use our business judgment to determine whether the Dwelling Limit makes good business sense for us and all of our franchisees. Enforcing the Dwelling Limit may not be practical when considering limitations on geography, housing availability, natural physical boundaries and population and demographic shifts. In the event that utilizing a Dwelling Limit does not make good business sense as determined by us we may delete the Dwelling Limit in our sole discretion. In addition to all other rights and remedies available to Franchisor, Franchisor may reduce the size of the Territory and/or eliminate the protections granted to Franchisee in the Territory.

What This Means (2025 FDD)

According to Canopy Lawn Care's 2025 Franchise Disclosure Document, Canopy Lawn Care retains the right to modify or eliminate the Dwelling Limit associated with a franchise territory at any time, at their sole discretion. The Dwelling Limit initially determines the size of a territory, with one license granted for up to 45,000 single family dwelling units. If a territory exceeds this limit, the franchisee must pay an Additional Dwelling Fee of $0.95 per unit above the limit.

This right to change the Dwelling Limit gives Canopy Lawn Care considerable flexibility in managing its franchise system. The document states that Canopy Lawn Care will use its business judgment to determine whether the Dwelling Limit makes sense for the company and its franchisees. Factors influencing this decision include geography, housing availability, physical boundaries, and population shifts. If Canopy Lawn Care determines that a Dwelling Limit is not practical, it may eliminate it entirely.

This policy has significant implications for franchisees. While a franchisee maintains rights to their territory even if the dwelling count changes, Canopy Lawn Care can reduce the territory size or eliminate protections if they deem it necessary. This could impact a franchisee's potential customer base and revenue. Prospective franchisees should carefully consider this clause and its potential impact on their business before investing in a Canopy Lawn Care franchise.

It is important for potential franchisees to understand the conditions under which Canopy Lawn Care might alter the Dwelling Limit and how such changes could affect their business. Asking for specific examples or scenarios during the due diligence process can provide clarity and help in making an informed decision.
