What This Means (2025 FDD)
According to Canopy Lawn Care's 2025 Franchise Disclosure Document, if a franchisee purchases a franchise in Washington and a dispute arises requiring arbitration or mediation, the location of these proceedings is subject to specific conditions. The arbitration or mediation site will be in the state of Washington. However, there are two exceptions to this rule. The location can be a place mutually agreed upon by both parties at the time of the arbitration or mediation. Alternatively, the arbitrator or mediator can determine the location at the time of the arbitration or mediation.
This stipulation provides some flexibility in determining the location of arbitration or mediation, which could be beneficial for a Canopy Lawn Care franchisee in Washington. It ensures that the proceedings are not automatically held in a distant or inconvenient location, such as Virginia, which is where Canopy Lawn Care's standard franchise agreement dictates. The franchisee has the opportunity to negotiate a mutually agreeable location or rely on the arbitrator/mediator's decision.
Furthermore, the Washington Addendum clarifies that if litigation is not precluded by the franchise agreement, a franchisee can bring an action or proceeding related to the sale of franchises or a violation of the Washington Franchise Investment Protection Act in Washington. This offers an additional layer of protection and legal recourse for Canopy Lawn Care franchisees operating in Washington, ensuring that they can pursue legal action within their own state under certain circumstances.
