What rights do Canine Dimensions and its affiliates retain with respect to the Marks?

We and our affiliates retain all rights with respect to Canine Dimensions Businesses, the Marks, the sale of similar or dissimilar products and services, and any other activities we deem appropriate whenever and wherever we desire, including, but not limited to the following rights:
- (1) The right to operate, and to grant others the right to operate Canine Dimensions Businesses located anywhere outside your Protected Territory under any terms and conditions we deem appropriate and regardless of proximity to your Franchised Business.
- (2) The right to provide, offer and sell and to grant others the right to provide, offer and sell goods that are identical or similar to and/or competitive with those provided at your Franchised Business, whether identified by the Marks or other trademarks or service marks, through dissimilar channels of distribution (including retail stores, the Internet, and electronic media) both inside and outside your Protected Territory and on any terms and conditions we deem appropriate.
- (3) The right to merge, combine, acquire, or be acquired by (regardless of the form of transaction), by a business providing products and services similar to those provided at Canine Dimensions Businesses, or by another business, even if such business operates, franchises, and/or licenses competitive businesses within your Protected Territory. We will not, however, permit any such business located within your Protected Territory to operate under our Marks.
- (4) The right to engage in any other business activities not expressly prohibited by the Franchise Agreement, both within and outside your Protected Territory.
We are not required to pay you if we exercise any of the rights specified above within your Protected Territory.

What This Means (2025 FDD)
According to Canine Dimensions' 2025 Franchise Disclosure Document, Canine Dimensions and its affiliates retain significant rights regarding Canine Dimensions Businesses, the Marks, and the sale of similar or dissimilar products and services. These rights extend to any activities Canine Dimensions deems appropriate, regardless of location. This means that even within a franchisee's protected territory, Canine Dimensions maintains considerable control and freedom to operate or grant others the right to operate similar businesses.
Specifically, Canine Dimensions reserves the right to operate or franchise Canine Dimensions Businesses outside a franchisee's protected territory under any terms and conditions they see fit, irrespective of proximity to the franchised business. They can also offer and sell goods identical or similar to those provided by the franchisee through different distribution channels, such as retail stores or the internet, both inside and outside the protected territory. These sales can occur under the Canine Dimensions Marks or other trademarks, and on any terms and conditions Canine Dimensions deems appropriate.
Furthermore, Canine Dimensions has the right to merge with, acquire, or be acquired by businesses providing similar products and services, even if those businesses operate competitive franchises within a franchisee's protected territory. However, Canine Dimensions states that they will not allow any such business located within the franchisee's protected territory to operate under the Canine Dimensions Marks. Canine Dimensions also retains the right to engage in any other business activities not expressly prohibited by the Franchise Agreement, both within and outside the franchisee's protected territory.
It is important to note that Canine Dimensions is not required to compensate franchisees if they exercise any of these rights within the franchisee's protected territory. This broad reservation of rights gives Canine Dimensions considerable flexibility in its business operations and potential expansion strategies, which could impact a franchisee's business, especially if Canine Dimensions introduces competing channels or services within the protected territory.
