What This Means (2025 FDD)
According to Canine Dimensions' 2025 Franchise Disclosure Document, franchisees must ensure that their associates sign a confidentiality agreement as a condition of employment. This agreement must be in a form satisfactory to Canine Dimensions.
The confidentiality agreement serves to protect Canine Dimensions' confidential information, trade secrets, and proprietary knowledge. This includes, but is not limited to, operational methods, marketing strategies, customer lists, and training techniques. By requiring associates to sign this agreement, Canine Dimensions aims to prevent the unauthorized disclosure or use of sensitive information that could harm the franchise system.
Canine Dimensions also requires that the confidentiality agreement identifies Canine Dimensions as a third-party beneficiary, which means Canine Dimensions has the independent right to enforce the agreement even though they are not a direct party to the agreement between the franchisee and the associate. The FDD also states that the enforceability of the confidentiality agreement may vary by jurisdiction, and it is the franchisee's responsibility to seek legal advice regarding the adequacy and enforceability of these agreements.
This requirement is a standard practice in franchising to safeguard proprietary information and maintain a competitive advantage. Prospective Canine Dimensions franchisees should understand the importance of this requirement and be prepared to implement and enforce these agreements with their associates.
