What This Means (2025 FDD)
According to Canine Dimensions' 2025 Franchise Disclosure Document, franchisees are prohibited from contesting the validity or ownership of the brand's marks. The FDD explicitly states that franchisees acknowledge the marks' validity and the franchisor's ownership. This acknowledgment is a condition of the franchise agreement.
This provision means a prospective Canine Dimensions franchisee cannot legally challenge the brand's trademarks or service marks during the term of their agreement. This restriction is typical in franchising, as the franchisor's brand and associated marks are critical assets of the franchise system. By agreeing to this clause, the franchisee recognizes and accepts the franchisor's exclusive rights to the Canine Dimensions brand.
The franchisee also agrees that any goodwill arising from the franchisee's use of the marks will inure solely to the benefit of Canine Dimensions. Upon termination or expiration of the franchise agreement, no monetary amount will be assigned to any goodwill associated with the franchisee's use of the Canine Dimensions system or marks. This reinforces that the franchisee is building equity in the franchisor's brand, not their own.
Canine Dimensions also retains the right to substitute different marks for use in identifying the System and the businesses operating thereunder if Canine Dimensions' currently owned Marks no longer can be used, or if Canine Dimensions, in its sole discretion, determines that substitution of different Marks will be beneficial to the System. In the event of a change in or substitution of any Mark, Canine Dimensions shall not be obligated to reimburse Franchisee for any costs incurred by Franchisee related to such change or substitution. Franchisee waives any claim arising from or relating to any Mark change, modification or substitution. Canine Dimensions will not be liable to Franchisee for any expenses, losses or damages sustained by Franchisee as a result of any Mark addition, modification, substitution or discontinuation, except as provided in this Agreement. Franchisee covenants not to commence or joint in any litigation or other proceeding against Franchisor for any of these expenses, losses or damages.
