What This Means (2025 FDD)
According to the 2025 Canine Dimensions Franchise Disclosure Document, a franchisee is explicitly prohibited from using the Marks as part of their Business Entity name. The FDD also states that upon termination or expiration of the Franchise Agreement, the franchisee must never use any reproduction, counterfeit, copy, or colorable imitation of the Marks, either in connection with such other business or the promotion thereof, which is likely to cause confusion, mistake, or deception, or which is likely to dilute Canine Dimensions' rights in and to the Marks.
This restriction ensures that the franchisee's business name does not infringe upon the franchisor's trademarks or create confusion in the marketplace. Franchisees must operate and advertise only under the name "Canine Dimensions" without prefix or suffix, unless otherwise authorized or required by Canine Dimensions. This helps maintain brand consistency and prevents customers from being misled into thinking the franchisee's business is directly affiliated with Canine Dimensions if it is not.
These stipulations are typical in franchising to protect the franchisor's brand identity and goodwill. By preventing franchisees from using confusingly similar names, Canine Dimensions aims to maintain a clear and consistent brand image, which benefits both the franchisor and all franchisees within the system. Franchisees must also include a disclaimer on all business cards, stationery, promotional and advertising materials, website and Internet communications, real estate documents, and all other materials Franchisee uses that states: "EACH CANINE DIMENSIONS BUSINESS IS INDEPENDENTLY OWNED AND OPERATED".
In the event of litigation involving the Marks, the franchisee must promptly notify Canine Dimensions and cooperate fully in defending or settling such litigation. This further underscores the importance of protecting the Marks and ensuring that franchisees do not engage in any activities that could harm the brand's reputation or create legal issues for the franchisor.
