Franchisee, Franchisee must promptly notify Franchisor and must cooperate fully in defending or settling such litigation.
7.3 Acknowledgments. Franchisee expressly understands, acknowledges, and agrees that:
7.3.1 The Marks are valid and serve to identify the System and those who are authorized to operate under the System. Franchisee will not ever directly or indirectly contest the validity or Franchisor's or the licensor's ownership of the Marks.
7.3.2 As between the parties, Franchisor has the exclusive right and interest in and to the Marks and the goodwill associated with and symbolized by them. Franchisee's use of the Marks pursuant to this Agreement does not give Franchisee any ownership or other interest in or to the Marks, except the limited, non-exclusive license granted by this Agreement.
