What This Means (2025 FDD)
According to Canine Dimensions' 2025 Franchise Disclosure Document, Section 9.4 of Item 22 discusses the consequences of breaching confidentiality. It states that any failure to comply with the confidentiality requirements outlined in Section 9 will cause Canine Dimensions irreparable injury. As a result, the franchisee agrees to cover all court costs and reasonable attorney's fees incurred by Canine Dimensions in pursuing specific performance or an injunction against the violation of these confidentiality requirements.
This section highlights the importance Canine Dimensions places on protecting its confidential information. It makes franchisees financially responsible for any legal expenses Canine Dimensions incurs while enforcing these confidentiality provisions. This could include costs associated with obtaining a court order to stop the franchisee from further disclosing confidential information or to force them to comply with the terms of the franchise agreement.
For a prospective Canine Dimensions franchisee, this means understanding the scope of confidential information and taking proactive steps to safeguard it. This includes ensuring that employees and associates who have access to confidential information sign confidentiality agreements, as outlined in Section 9.3. Furthermore, franchisees should seek legal advice to ensure that these agreements are enforceable in their specific jurisdiction. The financial consequences of a breach can be significant, potentially including substantial legal fees in addition to any damages resulting from the disclosure of confidential information.
