What This Means (2025 FDD)
According to Canine Dimensions' 2025 Franchise Disclosure Document, the term 'Constituents' in the Mutual General Release Agreement encompasses a broad range of individuals and entities affiliated with the franchisee. Specifically, it includes the franchisee's affiliates, parents, subsidiaries, divisions, partners, owners, shareholders, members, trustees, receivers, executors, representatives, administrators, and the respective officers, directors, agents, managers, principals, members, employees, insurers, successors, assigns, representatives, and attorneys of each of them.
This definition is important because the Mutual General Release Agreement extends not only to the franchisee but also to all of these 'Constituents.' This means that any claims, debts, liabilities, or demands that Canine Dimensions or the franchisee might have against each other are released for all parties involved, including these listed constituents. This waiver includes known and unknown claims, as specified by the waiver of California Civil Code Section 1542.
For a prospective Canine Dimensions franchisee, this has significant implications. It means that when signing the Mutual General Release Agreement, they are not only releasing claims on their own behalf but also on behalf of a wide array of related parties and entities. Franchisees should carefully consider this broad scope and understand the potential impact on their associated individuals and business structures. It is advisable to seek legal counsel to fully comprehend the extent of this release and its implications for all parties involved.
