  • 4.5.2 If Franchisee wants to purchase any items from an unapproved supplier, Franchisee must submit to Franchisor a written request for approval, together with such other information as Franchisor requires. Franchisor has the right to require that its representatives be permitted to inspect the supplier's facilities, and that samples from the supplier be delivered, at Franchisor's option, either to Franchisor or to an independent third party designated by Franchisor for testing. Franchisee or the supplier must pay to Franchisor Two Hundred Fifty Dollars ($250) or Franchisor's actual costs for conducting the evaluation (whichever is higher). Franchisor may also require that the supplier comply with such other reasonable requirements as Franchisor deems appropriate, including payment of reasonable continuing inspection fees and administrative costs.
