Under what conditions can Camp Margaritaville terminate the CRM Terms of Use for cause?

- (ii) For Cause Termination. These CRM Terms of Use may be terminated: (a) by Margaritaville for cause upon thirty (30) calendar days' written notice to Customer if Customer is in material breach of these CRM Terms of Use and such breach remains uncured at the expiration of such thirty (30) calendar day period; (b) by Margaritaville upon thirty (30) calendar days' written notice to Customer upon termination of the CRM Provider or Connection Platform agreement; (c) by Margaritaville for nonpayment of any Fees due hereunder upon thirty (30) calendar day written notice to Customer and such nonpayment remains uncured at the expiration of such thirty (30) calendar day period; or (iv) upon termination of the Branding Agreement between Margaritaville and Customer. Termination hereunder in no way limits any other rights or remedies the Margaritaville may be entitled to in law or in equity pursuant to these CRM Terms of Use. Should these CRM Terms of Use be terminated by Margaritaville pursuant to Section 13.(ii)(b) hereof, Customer agrees to negotiate with Margaritaville in good faith for the implementation of a new Connection Platform or CRM Services.

What This Means (2025 FDD)
According to Camp Margaritaville's 2025 Franchise Disclosure Document, Margaritaville can terminate the CRM Terms of Use under specific conditions. Margaritaville may terminate the CRM Terms of Use with a 30-day written notice if the customer materially breaches the terms and fails to correct the breach within that 30-day period. Additionally, Margaritaville can terminate with a 30-day written notice if the CRM Provider or Connection Platform agreement is terminated.
Furthermore, Camp Margaritaville can terminate the CRM Terms of Use if the customer fails to pay fees and does not rectify the nonpayment within 30 calendar days of written notice. The CRM Terms of Use will also automatically terminate if the Branding Agreement between Margaritaville and the customer is terminated.
It is important to note that termination of the CRM Terms of Use does not limit any other legal rights or remedies Margaritaville may have. If Margaritaville terminates the CRM Terms of Use due to the termination of the CRM Provider agreement, the customer is expected to negotiate in good faith with Margaritaville to implement a new Connection Platform or CRM Services.
