Under what conditions can a Dwelling Owner participate in the Camp Margaritaville Rental Program?

- A. Following the execution of a purchase and sale agreement for a Dwelling and in no event prior thereto (excluding Franchisee as a Dwelling Owner), Dwelling Owners shall be afforded the opportunity to participate in the Rental Program. Dwelling Owners that, in their sole discretion, decide to participate in the Rental Program shall participate in the rental stream generated by the Website.
- B. Dwelling Owners desiring to participate in the Rental Program shall enter into a rental management agreement with Franchisee in a form approved by Franchisor (such approval not to be unreasonably withheld, conditioned or delayed) (each, a "Rental Management Agreement"). During the Term, the form of Rental Management Agreement approved by the Franchisor, shall not be amended, or any other Rental Management Agreement adopted, that adversely affects or detracts from the overall image of the Camp Margaritaville Intellectual Property and the standards of quality associated therewith or the operation of the Project.
- C. In connection with any Rental Management Agreement executed by a Dwelling Owner, Franchisee shall include disclaimers and waivers by the Dwelling Owner, in a form that is mutually agreed between Franchisor and Franchisee, each acting in its reasonable discretion, and addressing that Franchisor is involved in the Rental Program only as a franchisor and its rights are defined and governed by the Agreement.

According to Camp Margaritaville's 2025 Franchise Disclosure Document, Dwelling Owners have the opportunity to participate in the Rental Program under specific conditions. Following the execution of a purchase and sale agreement for a Dwelling, Dwelling Owners are afforded the opportunity to participate in the Rental Program, with the exclusion of the Franchisee as a Dwelling Owner prior to this agreement. If a Dwelling Owner chooses to participate, they will be included in the rental revenue generated by the Camp Margaritaville Website.
To participate in the Rental Program, Dwelling Owners must enter into a rental management agreement with the Franchisee. This agreement must be in a form approved by the Franchisor, whose approval will not be unreasonably withheld, conditioned, or delayed. The Rental Management Agreement's terms, once approved by Camp Margaritaville, cannot be altered in a way that negatively impacts the brand's image, quality standards, or the operation of the Project during the agreement's term.

These disclaimers and waivers, agreed upon by both the Franchisor and Franchisee, will state that Camp Margaritaville is only involved in the Rental Program as a franchisor, with its rights defined and governed by the franchise agreement.
