What This Means (2025 FDD)

According to Camp Margaritaville's 2025 Franchise Disclosure Document, Jimmy Buffett's status is defined as an independent contractor, not an employee of Margaritaville. This distinction is important because it clarifies that Buffett is not subject to the same legal and financial obligations as an employee. Instead, his relationship is governed by a contractual agreement that defines the scope of his services and compensation. This arrangement allows Margaritaville to leverage Buffett's brand and image without the traditional employer-employee relationship.

Furthermore, the agreement specifies that it can only be modified through a written agreement signed by all parties involved. This provision ensures that any changes to Buffett's role or responsibilities must be formally documented and agreed upon, providing a layer of protection for both parties. The agreement is also binding upon the parties' heirs, legal representatives, successors, and assigns, indicating that the terms of the agreement will continue to be in effect even if there are changes in ownership or management.

However, Margaritaville retains the right to assign its rights and obligations under the agreement to an affiliate or a successor entity without Buffett's prior consent. This clause provides Margaritaville with flexibility in managing its business operations and potential future transactions. Overall, Buffett's role as an independent contractor allows Camp Margaritaville to benefit from his association while maintaining a clear and legally defined business relationship.
