What This Means (2025 FDD)

According to the 2025 Camp Margaritaville FDD, a customer is prohibited from using the Platform for any rebrand of the property after the termination of the Terms of Use. The Terms of Use, which outline the agreement between Margaritaville Enterprises, LLC and the customer, specify that upon expiration or termination, the customer must cease utilizing the Platform. This restriction is explicitly stated to prevent the use of the Platform for rebranding purposes once the agreement has ended.

This provision ensures that Camp Margaritaville maintains control over its proprietary software and services. It prevents former franchisees or property owners from leveraging the Platform's resources and technology to support a competing brand or rebranded entity. The Platform includes proprietary services of the Services Provider, registered trademarks, and trade names owned and used by the Services Provider. This protection extends to any alternative proprietary services with alternative trademarks and trade names that may be selected by Margaritaville in the future.

For a prospective Camp Margaritaville franchisee, this means that the technology and systems provided by the franchisor are only licensed for use during the term of the agreement. Upon termination, all access and rights to use the Platform are revoked, and the franchisee cannot repurpose the technology for any new business venture. This is a standard practice in franchising to protect the brand's intellectual property and maintain uniformity across the franchise system.

The franchisee should be aware that this restriction is in place to protect Camp Margaritaville's interests and to prevent any potential misuse of its resources after the franchise agreement concludes. It is essential to plan for alternative systems and technologies to support any future rebranding efforts once the franchise agreement is no longer in effect.
