What This Means (2025 FDD)
According to the 2025 Camp Margaritaville FDD, the franchise agreement is generally governed by the laws of Florida. Specifically, any disagreements regarding the agreement will be resolved in accordance with Florida law. This means that Florida's legal principles will be used to interpret the terms of the franchise agreement and resolve any disputes that may arise between Camp Margaritaville and the franchisee.
However, it's important to note that this general rule may be superseded by state-specific addenda included in the FDD. For example, the addendum for Rhode Island states that any provision restricting jurisdiction or venue to a forum outside of Rhode Island or requiring the application of laws from a state other than Rhode Island is void for claims enforceable under the Rhode Island Franchise Investment Act. Similarly, the addendum for North Dakota states that the agreement will be governed by North Dakota law. These addenda ensure that franchisees retain certain rights and protections under their local state laws, regardless of what the main franchise agreement stipulates.
For a prospective Camp Margaritaville franchisee, this means carefully reviewing any state-specific addenda to understand how local laws might modify the general governing law provision. Franchisees should also be aware that while disputes may be subject to arbitration in Orlando, Florida, as stated in the FDD, certain claims under state franchise laws may still be pursued in their own state, depending on the specific addenda. It is advisable to consult with a legal professional to fully understand the implications of the governing law and dispute resolution provisions in the franchise agreement and any applicable state addenda.
