4. Additional Operating Guidelines

  • 4.1 Operation/Sale of Dwellings.
    • 4.1.1 Homeowners Association. The Parties agree that Franchisee may establish a Homeowners' Association ("HOA") to govern the Dwellings. The HOA rules and master declaration for the Dwellings (and any amendments thereto) (collectively, "HOA Documents") shall be subject to Franchisor's advance review and written approval, on a commercially reasonable basis, to ensure compliance with the Agreement and the Dwellings Standards. According to Camp Margaritaville's 2025 Franchise Disclosure Document, if a franchisee chooses to develop a Membership Club, they must create club membership documents. These documents should address and govern the amenities, benefits, and use of the dwellings and/or vacation rentals. Examples of items to be included in the club membership documents are membership rules, facilities use guidelines, and club dues.

The Club Membership Documents, including any amendments, are subject to Camp Margaritaville's advance review and written approval. This approval will be based on a commercially reasonable standard to ensure compliance with the Franchise Agreement and the Dwelling Standards. The amenities and facilities within the project are intended for the exclusive use of Dwelling Owners and guests participating in the Rental Program. However, the franchisee can sell day passes to non-guests under the Day Pass Program Terms of Use, which are incorporated by reference in the Technology Agreement.

The Club Membership Documents must include information regarding a monthly Brand Lifestyle Fee of $50 per month, per Dwelling. This fee is payable to Camp Margaritaville by Dwelling Owners to support the brand and oversee the facilities used by the Membership Club. The Homeowners Association (HOA) will collect this Brand Lifestyle Fee and remit it to Camp Margaritaville as a lump sum on a monthly basis.
