- 4.2 Franchisor shall provide Franchisee access to the electronic media and/or written materials reflecting the then-current Lodge Standards ("Lodge Manual") during the Term. Franchisee must comply with the terms of the Lodge Manual, as Franchisor periodically modifies it, except for any employment-related or other policies and procedures which are clearly indicated in the Lodge Manual as being for Franchisee's optional use. The Lodge Manual may include electronic media and/or written materials and Franchisee agrees to monitor and access any updates to the Lodge Manual, Lodge Standards, or other aspects of the Lodge System. Franchisor may modify the Lodge Manual periodically to reflect changes in Lodge Standards, which Franchisor may change in its sole discretion. Franchisee agrees to restrict (and ensure its Key Personnel restricts) access to the Lodge Manual in accordance with Franchisor's policies, as Franchisor periodically modifies them. If there is a dispute over its contents, Franchisor's master copy of the Lodge Manual controls. Franchisee agrees that the Lodge Manual's contents and any passwords or other digital identifications necessary to access the Lodge Manual are part of the Confidential Information.
