If we approve a management company or other designated person(s), as a condition of that approval, the management company must sign the documents we require to protect our Camp Margaritaville Intellectual Property, Copyrighted Materials, and Confidential Information and reflect its agreement to perform its management responsibilities and operate the Resort in compliance with the Franchise Agreement ("Management Rider"). Our current form of Management Rider is attached as Exhibit C-5.

According to Camp Margaritaville's 2025 Franchise Disclosure Document, the current form of the Management Rider is included as Exhibit C-5. This rider is a document that the management company must sign to protect Camp Margaritaville's intellectual property, copyrighted materials, and confidential information. It also reflects the management company's agreement to perform its management responsibilities and operate the Resort in compliance with the Franchise Agreement.
Camp Margaritaville requires that a management company they approve, or the franchisee or another designated person, retain direct management control over all aspects of the Resort's business. This party must also be the employer of the Resort's personnel. The franchisee cannot enter into any management agreement without Camp Margaritaville's prior written acceptance, and the franchisee cannot manage the Resort themselves without Camp Margaritaville's approval.
Camp Margaritaville will not unreasonably withhold acceptance of a management company, designated person, or the franchisee if they meet the minimum qualifications and ensure their personnel complete all required training programs. This requirement ensures that the Resort is operated according to Camp Margaritaville's standards and protects the brand's reputation.
