NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are acknowledged, we and you agree as follows:
1. TERMS. Capitalized terms in this Rider have the meaning set forth in the Agreement, unless added or amended pursuant to Section 2 below.
2. DEFINITIONS.

- 2.1 "Lodge" shall mean a small, enclosed, hotel-style lodging facility at or adjacent to the Resort as authorized herein, which is operated in accordance with the Lodge Standards;
- 2.2 "Lodge Intellectual Property" shall mean any and all trademarks, trade dress and other intellectual property licensed by Franchisor and used in connection with the Lodge as authorized herein; all Lodge Intellectual Property shall be deemed part of the Camp Margaritaville Intellectual Property for all purposes of the Agreement;
- 2.3 "Lodge Manual" shall have the meaning set forth in Section 4.2 below;
- 2.4 "Lodge Standards" shall mean those procedures, standards, specifications, controls, systems, manuals, guides, and other distinguishing elements or characteristics which Franchisor and its Affiliates have developed in connection with the operation of Margaritaville-branded lodging facilities, which standards are such that the Lodge shall be managed and operated in such a manner as required to provide high quality services of substantially the same quality and distinguishing characteristics as are provided at the same or similarly branded lodging facilities licensed by Franchisor (or its Affiliates), including without limitation, the criteria set forth in the Lodge Manual; the Lodge Standards shall be deemed part of the System Standards for all purposes of the Agreement;
- 2.5 "Lodge System" shall mean the concept and systems associated with the Lodge, as Franchisor periodically modifies any of the foregoing, including the Lodge Intellectual
Property, the Lodge Manual, the Confidential Information; the Décor, quality assurance measures; the Training Program and Task Force; and the Lodge Standards; the Lodge System shall be deemed part of the Camp Margaritaville System for all purposes of the Agreement;
2.6 "Resort" shall have the meaning set forth in the Preliminary Statement of the Agreement, but shall include the Lodge.
