As a prerequisite for the provision of the Services to Customer, Customer shall complete the following tasks and/or provide the following deliverables within the time frames requested by Margaritaville. Customer shall further provide Margaritaville with updates to any of the following information immediately as changes occur to ensure the proper delivery of the Services.

In the event an authorized user is no longer employed by Customer or a Property or no longer requires access to the Services to complete its job responsibilities, Customer shall immediately deactivate (or cause deactivation of) the authorized user from access to the Services.

Neither Margaritaville nor the Services Provider shall not be liable, in any manner whatsoever, for Customer's failure to deactivate a user that is no longer employed by Customer or a Property or no longer requires access to the Services based on a change in job responsibilities.

Customer represents, covenants, and warrants that Customer will use the Services only in compliance with the Services Provider's standard published policies and procedures then in effect, which may be amended from time to time and all applicable laws and regulations, and shall further complete all prerequisites and responsibilities as commercially reasonably requested by Margaritaville in connection with delivery of the Services.

Customer shall notify Margaritaville of: (i) any act or omission that compromises either the security, confidentiality or integrity of Privacy Information collected from end users in connection with these Terms of Use; or (ii) a breach or alleged breach of these Terms of Use relating to the privacy practices of Customer in accordance with the terms of the Branding Agreement.

Customer agrees that it has the obligation to keep all Property information current, up-to-date and accurate in all databases and to keep the holder of a

  • confirmed reservation (or his agent or representative) informed of any developments affecting the reservation.

Customer shall promptly notify Margaritaville in the event of any misuse or suspicion of misuse of its login details.

Customer shall keep any contact details in its account secure and up to date and warrants that they are correct.

Furthermore, franchisees must notify Margaritaville of any security breaches or privacy-related violations according to the Branding Agreement. Franchisees must also keep property information current and accurate in all databases to keep reservation holders informed of any changes. Franchisees are responsible for honoring confirmed reservations made through the CR System at the agreed-upon rates and terms. If a franchisee cannot accommodate a guest with a confirmed reservation, they must find comparable accommodations at no extra cost to the guest and cover any reasonable expenses incurred. Franchisees must also promptly notify Margaritaville of any misuse or suspected misuse of login details and keep all contact details in their account secure, up-to-date, and accurate.
