What This Means (2025 FDD)
According to Camp Margaritaville's 2025 Franchise Disclosure Document, 'Confidential Information' under the CRS (Camp Reservation System) Terms of Use encompasses a broad range of sensitive data related to the operations of Camp Margaritaville, the CRS supplier, and the customer (franchisee). This includes the specific terms and conditions outlined in the CRS agreement itself, ensuring that the contractual details remain protected. It also extends to any intellectual property rights associated with the CRS, along with proprietary and confidential information concerning the past, present, or future business activities of the CRS supplier, Camp Margaritaville, or the franchisee. This covers trade secrets, research and development data, business strategies, financial information, operational methods, processes, systems, and agreements disclosed within the framework of the CRS agreement.
Specifically, the definition excludes information that is already publicly known, was in the receiving party's possession prior to disclosure, was rightfully disclosed without restriction, or was independently developed without using the other party's confidential information. This ensures that only genuinely proprietary information is protected, and that parties are not unduly restricted from using or sharing information obtained through legitimate means. Supplier Aggregate Data, which is anonymized and does not identify specific properties, persons, or customers, and does not constitute Guest Information, is explicitly excluded from the definition of Confidential Information, allowing the CRS supplier to use such data at its discretion.
For a prospective Camp Margaritaville franchisee, understanding the scope of 'Confidential Information' is crucial. It dictates what information they must protect and how they can use information received from Camp Margaritaville or the CRS supplier. Failure to safeguard this information could lead to breaches of the CRS Terms of Use and potential legal or financial repercussions. Franchisees should pay close attention to the exclusions to ensure they understand what information they can freely use without violating the agreement. Additionally, franchisees should be aware of their responsibilities regarding data security and notification procedures in the event of a data breach, as outlined in the CRS Terms of Use.
