What This Means (2025 FDD)
According to the 2025 Camp Margaritaville Franchise Disclosure Document, the Franchise Agreement remains in full effect, except for the specific modifications outlined in the Rider. The Rider serves as a supplement to the original agreement, modifying certain aspects while leaving the rest of the agreement intact.
Specifically, the terms of each Rider (FBR, Dwellings, Lodge, Amenities, and Management) are governed by the original Franchise Agreement. Unless explicitly stated otherwise in the Rider, all provisions of the Franchise Agreement remain fully enforceable. This ensures that the core contractual relationship between Camp Margaritaville and the franchisee remains consistent, with the Rider addressing specific operational or developmental aspects.
In the event of any conflict between the terms of the Franchise Agreement and the Rider, the terms of the Rider will take precedence. This clause is standard in contract law, ensuring that the most recent and specific agreements between parties are upheld. This means franchisees should pay close attention to the details within the Rider, as those terms will supersede any conflicting terms in the original Franchise Agreement.
For a prospective Camp Margaritaville franchisee, this means understanding both the original Franchise Agreement and any Riders associated with their specific operation (restaurants, retail, vacation dwellings, etc.) is crucial. Franchisees must carefully review both documents to fully understand their rights and obligations. They should also seek legal counsel to clarify any ambiguities or potential conflicts between the two documents.
