y of which are hereby acknowledged, Franchisor and Franchisee hereby agree as follows:
I. Granted Territory, Trade Names, and Trademarks

- Grant of Franchise and Territory. In accordance with the terms of this Agreement, Franchisor grants Franchisee the right to operate a Franchised Business within the Territory described in the map and list of zip codes attached hereto. Franchisee agrees to comply with Franchisor's rules, regulations, methods, procedures, programs, policies, and standards, as may be modified in Franchisor's sole discretion from time to time, set forth in Franchisor's Operations Manual or as otherwise communicated to Franchisee in writing and to adhere to standards of Christian conduct as established in Scripture. Franchisee shall only offer and sell those services and products that Franchisor has approved of in writing or as provided for in Franchisor's Operations Manual. Franchisor may modify the approved products or services in Franchisor's sole discretion from time to time, and Franchisee must comply with such modifications.

- Territorial Restrictions. Franchisee will have the exclusive right to establish a C12 Group business within the Territory and to market C12 Group services, programs, and materials within the Territory.
Franchisee shall not host C12 Group meetings outside of the Territory. Franchisee may provide C12 Group services to members who live or work outside of the Territory but desire to participate in C12 Group meetings within the Territory. Similarly, individuals living within the Territory may engage with C12 Group businesses operated by other franchisees or Franchisor and its affiliates. Franchisee must reside within the Territory unless Franchisor approves otherwise in writing. Franchisee may only establish additional territories with Franchisor's written permission and by meeting Franchisor's then-current requirements for operating a C12 Group business within multiple territories. Franchisee shall not solicit current or prospective members who live and work outside of the Territory. If Franchisee is contacted by any prospective members who live and work outside of the Territory, Franchisee must inform such prospective members that there is another C12 Group business forum option (if applicable) and provide such prospective members with contact information of the C12 franchisee whose Territory the prospective members live and work within.

- C12 Group Membership. C12 membership is limited to Christian business Owners, CEOs, Presidents, and General Managers (and their team members) who give assent to Franchisor's Doctrine Statement or seek to understand these values and principles as they seriously consider the claims of Christ. Each member agrees to group confidentiality, Christian conflict resolution, and being a part of an 'iron sharpening iron' peer group process that requires both listening and speaking in mutual ministry efforts.

- Minimum Performance Standards. Franchisee must achieve a minimum level of target market penetration to maintain exclusivity within Territory. Franchisor defines Franchisee's "Baseline Target" using publicly available data, including, without limitation, the relevant Intelligent Direct, Inc (IDI) dba GbBIS business census in the Territory and research data provided by The Barna Group on the percentage of 'practicing Christians' or 'evangelical Christians' by region to establish the market potential in regard to the number of prospective member companies within the Territory. Franchisee must achieve the minimum performance levels set forth in Section IV.8.a.

According to the 2025 FDD, C12 Group grants franchisees specific rights within their territory. C12 Group offers franchisees the right to operate a franchised business and market C12 Group services within an exclusive territory, as defined by a map and list of zip codes. Franchisees must adhere to C12 Group's rules, regulations, and standards, including Christian conduct, as outlined in the Operations Manual.
This exclusivity is conditional. To maintain it, franchisees must meet minimum performance standards based on target market penetration. C12 Group determines a franchisee's "Baseline Target" using data from sources like the Intelligent Direct, Inc (IDI) dba GbBIS business census and research data from The Barna Group to assess the market potential within the territory. Failure to meet these minimum performance levels could result in C12 Group reducing the franchisee's territory size, authorizing another franchisee to operate within the territory, or C12 Group itself operating a business within the franchisee's territory.
Franchisees are restricted from hosting C12 Group meetings outside their designated territory but can serve members who live or work outside the territory but wish to attend meetings within it. Similarly, individuals within the territory can engage with C12 Group businesses operated by other franchisees or C12 Group itself. Franchisees must reside within their territory unless C12 Group provides written approval otherwise and need written permission from C12 Group to establish additional territories, meeting the franchisor's requirements for multiple territories. Franchisees are also prohibited from soliciting current or prospective members who live and work outside of their assigned territory and must inform prospective members about other C12 Group options if they are outside the franchisee's territory.
