In accordance with the terms and conditions of this Agreement, Licensor shall provide Licensee with usage, login, and access to the Licensed System (all of which constitute and form part of the Confidential Information) for the purpose of providing to Licensee data processing and other services related to the "buy-here-pay-here" automobile sales and collection management systems, particularly generation of specific retail installment sales and security contracts from input data and monitoring of receivables and collection productivity by Licensee (hereinafter referred to as "Services").
Licensor shall have the right to suspend or limit, in whole or in part, Licensee's access to the Services upon ten (10) days written notice to Licensee if any amounts due Licensor are more than thirty (30) days past due or as otherwise provided in the Franchise Agreement.

According to the 2025 Byrider FDD, Byrider, as the Licensor, provides data processing and other services related to "buy-here-pay-here" automobile sales and collection management systems. Byrider also provides services for monitoring receivables and collection productivity for the franchisee. These services are provided to the franchisee through usage, login, and access to Byrider's Licensed System.
Byrider uses a Licensed System that includes software programs, documentation, and infrastructure standards. The server portion of the Licensed Software is hosted by Byrider from its data processing facilities. The Licensed System includes both software owned directly by Byrider and software sublicensed from third parties.
It is important to note that the franchisee is responsible for ensuring that their network connectivity to and from the Licensed System and Hosting Facility is secured. The franchisee is also responsible for the consequences of any instructions they give Byrider, failure to properly access the Licensed System, and failure to supply accurate, timely, and complete input information. Byrider retains the right to suspend or limit the franchisee's access to the services if any amounts due to Byrider are more than 30 days past due, or as otherwise provided in the Franchise Agreement.
