What This Means (2025 FDD)
According to Byrider's 2025 Franchise Disclosure Document, the Licensed Documentation is developed to assist in the utilization and understanding of the Licensed Software. The Licensed Software includes computer software programs relating to "buy-here-pay-here" automobile sales and collection management systems. These programs enable the generation of retail installment sales and security contracts from input data, as well as the monitoring of receivables and collection productivity. The Licensed Software has components that are owned/licensed directly by Byrider and components provided from third parties and sublicensed by Byrider.
Byrider provides the franchisee with one copy of the Licensed Documentation and all updates or revisions to it. The franchisee receives a nonexclusive, indivisible, non-transferable license to access and use the Licensed System. This license is specifically for accessing the functions necessary to obtain services for the franchisee's automobile sales business, in accordance with the Franchise Agreement.
The franchisee is responsible for ensuring that the Licensed System meets their individual requirements and goals. The franchisee cannot make copies of the Licensed Documentation, except for the number of copies necessary for its use of the License System. Any copies made must be labeled with a copyright notice indicating that copies can only be made with express written permission from Byrider Franchising Partners, LLC, and the franchisee must not remove, hide, or disable any of Byrider's copyright notices on the Licensed System.
Overall, the Licensed Documentation serves as a guide for franchisees to effectively use the software provided by Byrider, ensuring they can manage sales, collections, and customer data in line with the franchise agreement. The restrictions on copying and the emphasis on security highlight the importance of protecting Byrider's proprietary information and maintaining the integrity of the Licensed System.
