This Agreement shall automatically and without notice expire or terminate concurrently with the expiration or termination of the Franchise Agreement. In addition, if, at any time, Licensee defaults in the performance of any of its obligations under this Agreement and such default is not corrected within ten (10) days after Licensor has given Licensee written notice specifying such default, in addition to any other remedies that it may have, Licensor shall have the right to terminate this Agreement for cause by giving written notice of termination to Licensee, and this Software Lice

What This Means (2025 FDD)
According to the 2025 Byrider Franchise Disclosure Document, the software license agreement associated with the franchise automatically terminates concurrently with the expiration or termination of the Franchise Agreement. Additionally, if a franchisee defaults on their obligations under the Software License Agreement and fails to correct the default within ten days after receiving written notice from Byrider, Byrider has the right to terminate the Software License Agreement for cause by providing written notice of termination to the franchisee.
Upon termination or expiration of the Byrider Franchise Agreement, Byrider is not obligated to provide the franchisee with access to the BYRIDER Computer Software or any related services. However, Byrider will promptly provide the franchisee with all necessary information to collect receivables and facilitate an orderly transfer, transition, or wind-down of the business.
If a court determines that Byrider breached the Franchise Agreement or the Software License Agreement, Byrider will suspend the implementation of certain post-termination obligations for a period not exceeding ninety days. This allows the franchisee time to transition their business to new systems and signage. During this period, the restrictions on competition typically imposed after termination will not apply, and Byrider will provide the franchisee with the necessary information to manage the transition of the business.
