- Copying Prohibited. Licensee shall not make any copies of the Licensed Software in whole or part. Licensee shall not make any copies of the Licensed Documentation in whole or part [beyond the number of copies necessary for its use of the License System]. In no event shall Licensee make any copy of the Licensed Documentation available to any person other than one of its employees or agents who are bound to maintain that information in confidence and have been instructed not to make the copy available to any person other than an employee or agent of Licensee who is similarly bound.

- Notice Marking. Licensee shall label all copies of the Licensed Documentation or separately identifiable portions thereof made by Licensee as follows:

What This Means (2025 FDD)
According to Byrider's 2025 Franchise Disclosure Document, licensees are explicitly prohibited from making any copies of the Licensed Software, either in whole or in part. This restriction is in place to protect Byrider's proprietary rights and maintain control over its software. The FDD does allow licensees to make copies of the Licensed Documentation, but only to the extent necessary for using the Licensed System.
Even when copies of the Licensed Documentation are permitted, Byrider franchisees must ensure that these copies are only accessible to employees or agents who are bound by confidentiality agreements. These individuals must also be instructed not to make the copies available to anyone outside of the franchisee's employees or agents who are similarly bound. This ensures that the confidential information contained within the documentation remains protected.
Any copies of the Licensed Documentation or identifiable portions thereof must be clearly labeled with a copyright notice indicating that Byrider Franchising Partners, LLC owns the copyright and that copies can only be made with express written permission. Franchisees are also prohibited from removing, hiding, or disabling any of Byrider's copyright notices on the Licensed System. This stringent control over software and documentation aims to prevent unauthorized use, distribution, or modification of Byrider's intellectual property, safeguarding its competitive advantage and brand integrity.
