- 1.4 Grant of Licenses. The Company grants to persons, who meet the Company's qualifications and are willing to undertake the investment and effort, a franchise to establish and operate a business using the System at a specified location(s) and a license to use the Marks in connection therewith.

What This Means (2025 FDD)
According to Byrider's 2025 Franchise Disclosure Document, Byrider grants franchises to qualified individuals who are willing to invest the necessary capital and effort to establish and operate a business using the Byrider System at specified locations. Byrider also grants a license to use their trademarks in connection with the operation of the franchise.
The Byrider System includes a facility for the business location, a system for operating a used vehicle sales and service business, a system for financing used vehicles, the BYRIDER Computer Software, specific exterior and interior designs, signage, confidential operating procedures, and methods for various aspects of business management. These include inventory and cost controls, collections, record keeping, accounting, personnel management, purchasing, service and reconditioning, sales promotion, marketing, and advertising. Byrider may change or improve these elements over time.
The franchise agreement specifies that Byrider grants a non-exclusive franchise and license to the franchisee to open and operate one business. This license allows the franchisee to use the Byrider System and trademarks solely for their business operations. The agreement also mentions a protected territory, outlined in Exhibit A, within which Byrider will not operate or grant another franchise, subject to certain conditions such as the franchisee remaining in compliance with the agreement.
