4.1 Grant of Franchise and License. Subject to the terms and conditions herein, the Company hereby grants to the Franchisee, and the Franchisee hereby accepts from the Company, (A) a non-exclusive franchise to open and operate one Business and (B) a non-exclusive license to use the System and the Marks solely in connection with the operation of the Franchisee's Business. Termination or expiration of this Agreement shall constitute a termination of the foregoing franchise and license.

According to Byrider's 2025 Franchise Disclosure Document, the franchise and license granted to a franchisee to use the System and Marks terminates upon the expiration or termination of the Franchise Agreement. Specifically, Byrider grants the franchisee a non-exclusive franchise to operate a business and a non-exclusive license to use the System and Marks solely for the operation of the franchisee's business.

Upon termination or expiration of the Franchise Agreement, the franchisee must immediately cease using any of the Marks, except as otherwise provided. The franchisee is also obligated to make alterations to the Business Location to distinguish it from the appearance of a Byrider business. If the franchisee fails to do so, Byrider has the right to enter the Business Location and make such changes at the franchisee's expense.

In addition, the franchisee must cancel all Byrider telephone listings and advertising within thirty days of termination or expiration, and assign any Internet domain names or assumed names containing the Marks to Byrider. These obligations ensure a clean break between the franchisee and the Byrider system, protecting Byrider's brand and goodwill.
