nd/or made available to Franchisee during the course of his/her dealer relationship, which relate to the Confidential Information (as stated above), is and shall remain the property of the Company. The obligations of Franchisee under this Section shall survive the termination (for any reason) or breach of this Agreement.
- 20.17 Submission of Agreement. The submission of this Agreement does not constitute an offer and this Agreement shall become effective only upon the execution hereof by the Company and the Franchisee. The date of execution by the Company shall be considered to be the date of execution of this Agreement.
- 20.18 Compliance with Anti-Terrorism Laws. Franchisee and Franchisee's owners agree to comply, and to assist the Company to the fullest extent possible in Company's efforts to comply, with Anti-Terrorism Laws (defined below). In connection with that compliance, Franchisee and Franchisee's owners certify, represent, and warrant that none of Franchisee's property or interests is subject to being blocked under, and that Franchisee and Franchisee's owners otherwise are not in violation of, any of the Anti-Terrorism Laws. "Anti-Terrorism Laws" mean Executive Order 13224 issued by the President of the United States, the USA PATRIOT Act, and all other present and future federal, state, and local laws, ordinances, regulations, policies, lists, and other requirements of any governmental authority addressing or in any way relating to terrorist acts and acts of war. Any violation of the Anti-Terrorism Laws by Franchisee or Franchisee's owners, or any blocking of Franchisee's or Franchisee's owners' assets under the Anti-Terrorism Laws, shall constitute good cause for immediate termination of this Agreement, as provided in Section 16.2(A)(14) above.
- 20.19 Disclosure of Franchisee Shareholders. Upon request by the Company, Franchisee shall disclose to the Company the names of the shareholders and their respective percentages of ownership of the Franchisee corporation, Franchisee limited liability company, or other Franchisee entity.
THIS AGREEMENT SHALL NOT BE BINDING ON THE COMPANY UNLESS AND UNTIL IT SHALL HAVE BEEN ACCEPTED AND SIGNED BY AN AUTHORIZED OFFICER OF THE COMPANY.
IN WITNESS WHEREOF, the Company and the Franchisee have respectively signed this Agreement as of the day and year first above written.
THE COMPANY DISCLAIMS ANY WARRANTY OR REPRESENTATION AS TO THE POTENTIAL SUCCESS OF THE FRANCHISEE'S BUSINESS OPERATIONS UNDER THIS AGREEMENT.

What This Means (2025 FDD)
According to the 2025 Byrider Franchise Disclosure Document, franchisees and their owners must comply with all Anti-Terrorism Laws and assist Byrider in complying with these laws. This includes certifying, representing, and warranting that none of the franchisee's property or interests are subject to being blocked under Anti-Terrorism Laws and that they are not in violation of any such laws. These laws are defined as Executive Order 13224, the USA PATRIOT Act, and all other present and future federal, state, and local laws related to terrorist acts and acts of war.
Byrider requires certain certifications that the parties with whom it deals are not directly or indirectly involved in terrorism. For that reason, the Franchisee must certify that neither it nor any of its employees, agents, or representatives, nor any other person or entity associated with the Franchisee, is a person or entity listed in the Annex to the Executive Order; a person or entity otherwise determined by the Executive Order to have committed acts of terrorism or to pose a significant risk of committing acts of terrorism; a person or entity who assists, sponsors, or supports terrorists or acts of terrorism; or owned or controlled by terrorists or sponsors of terrorism.
Furthermore, franchisees must covenant that neither they, nor their employees, agents, representatives, or any associated person or entity, will become a person or entity described above or otherwise become a target of any Anti-Terrorism Measure during the term of the Franchise Agreement. Any violation of these laws or the blocking of assets under these laws constitutes grounds for immediate termination of the Franchise Agreement. Upon request by Byrider, the franchisee must disclose the names and ownership percentages of the shareholders of the franchisee's corporation, limited liability company, or other entity.
