What This Means (2025 FDD)

According to Bw Premier Collection's 2025 Franchise Disclosure Document, the 'No Waiver of Disclaimer of Reliance' provision ensures that franchisees retain their rights under applicable state franchise laws. This means that no statement, questionnaire, or acknowledgment signed by a franchisee can waive claims related to franchise law, including those concerning fraud in the inducement. This also means that franchisees cannot disclaim reliance on statements made by the franchisor, franchise sellers, or anyone acting on their behalf.

This provision is designed to protect franchisees from inadvertently relinquishing their legal rights during the initial stages of the franchise relationship. It specifically addresses concerns where franchisees might sign documents that could be interpreted as waiving their ability to bring claims against Bw Premier Collection. This protection extends to claims of fraud, ensuring that franchisees can seek legal recourse if they believe they were misled into investing in the franchise.

The 'No Waiver of Disclaimer of Reliance' provision takes precedence over any conflicting terms in any document executed in connection with the franchise agreement. This means that if any other part of the franchise agreement or related documents contains language that could be interpreted as a waiver of these rights, this provision overrides those terms, reinforcing the franchisee's protections.

For prospective Bw Premier Collection franchisees, this clause offers significant reassurance that their legal rights and ability to seek remedies for misrepresentation or fraud are preserved throughout the franchise relationship, regardless of other contractual language. This is a beneficial provision that aligns with franchise regulations in many states aimed at protecting franchisees from overreaching franchisor practices.
