- Background. BWI and Hotel Owner are parties to that certain Distribution Agreement that has been signed concurrently with the signing of this Rider (the "Distribution Agreement"). This Rider is annexed to and forms part of the Distribution Agreement. This Rider is being signed because (a) Hotel Owner is a resident of Rhode Island and the Hotel that Hotel Owner will operate under the Distribution Agreement will be located in Rhode Island; and/or (b) any of the offering or sales activity relating to the Distribution Agreement occurred in Rhode Island.

BWI and Hotel Owner are parties to that certain Distribution Agreement that has been signed at the same time as the signing of this Rider (the "Distribution Agreement") that has been signed concurrently with the signing of this Rider. This Rider is annexed to and forms part of the Distribution Agreement. This Rider is being signed because (a) you are a resident of the State of Maryland and/or (b) the franchised Hotel will be or is operated in the State of Maryland, and/or (c) the offer to sell the franchise for the Hotel was made in the State or Maryland; and/or (d) the offer to buy the franchise for the Hotel was accepted in the State of Maryland.

This Rider is being signed because (a) the offer to sell or buy the franchise for the Hotel was made in the State of Illinois, and/or (b) the offer to sell or buy the franchise for the Hotel was made outside of the State of Illinois and accepted in the State of Illinois, and/or (c) Hotel Owner is domiciled in the State of Illinois, and/or (d) the franchised Hotel will be located in the State of Illinois.

This Rider is being signed because (a) Hotel Owner is a resident of North Dakota and the Hotel will be located in North Dakota, and/or (b) the offer or sale of the franchise for the Hotel that Hotel Owner will operate under the Distribution Agreement was made in the State of North Dakota.

What This Means (2025 FDD)
According to the 2025 Bw Premier Collection FDD, a Rider to the Distribution Agreement is signed concurrently with the Distribution Agreement under specific circumstances related to the franchisee's location, residency, or where the franchise offer or sale occurred. These circumstances vary by state, triggering the use of a state-specific rider.
For instance, if a Hotel Owner is a resident of Rhode Island or the hotel they will operate is located in Rhode Island, or if any offering or sales activity related to the Distribution Agreement occurred in Rhode Island, a specific rider for Rhode Island is signed. Similarly, a rider for Maryland is signed if the Hotel Owner is a resident of Maryland, the franchised hotel will operate in Maryland, or the offer to sell or buy the franchise was made or accepted in Maryland.
In Illinois, the rider is signed if the offer to sell or buy the franchise was made in Illinois, or made outside but accepted in Illinois, or if the Hotel Owner is domiciled in Illinois, or the franchised hotel will be located in Illinois. For Washington, the rider is used if the hotel will be located in Washington, the Hotel Owner is a resident of Washington, or any offering or sales activity occurred there. In Minnesota, the rider is signed if the hotel will be located in Minnesota or any offering or sales activity occurred there. Finally, in North Dakota, the rider is signed if the Hotel Owner is a resident and the hotel will be located there, or if the offer or sale of the franchise was made in North Dakota. These riders modify the Distribution Agreement to comply with specific state franchise laws, addressing issues such as governing law, jurisdiction, limitations of claims, and waivers.
