l, Inc. ("Best Western") requires payment of a $4,000 non-refundable Application Fee via electronic wire transfer

- The Best Western Board of Directors ("Board") will not consider the Application until first preliminarily reviewed by a Best Western management committee and Best Western has received the First Year Fee via electronic wire transfer, **(**See Exhibit A), which will be held by Best Western as a good-faith deposit until execution of a Distribution Agreement (the "Agreement").

- In the event an impact study is required as further described in paragraph 6 below, it is understood and agreed that you will be responsible for a non-refundable Impact Study Fee, which must be paid via electronic wire transfer before the impact study is conducted and which will be a prerequisite to your Application's processing.

- All Application, Impact Study and Application Fees (collectively, "Fees") are payable in U.S. funds or Canadian funds. Payment of any Fee or submission of this Application does not give any Applicant the right to affiliate with Best Western. What This Means (2025 FDD)
According to the 2025 FDD, the Bw Premier Collection Board of Directors has broad discretion when considering an application. The Board will not consider any application until it has been preliminarily reviewed by a Best Western management committee and Best Western has received the First Year Fee.
The Bw Premier Collection Board's decision will consider any impact that the study determines to exist. An application may not be accepted if the hotel is located within the member market area of an existing Best Western member hotel, unless that hotel advises the Board in writing that it has no objection to the approval of the application. If the hotel is located within a certain vicinity of an existing Best Western Member's hotel, an impact study may be commissioned.
Furthermore, if the applicant owns any other Best Western branded hotel, they must cure any past or current obligations or defaults at those hotels before their application will be considered. The FDD states that the Board may deny an application for any or no reason, and the applicant agrees that they will have no recourse against Best Western if their application is denied.
