What This Means (2024 FDD)

According to Burros Fries's 2024 Franchise Disclosure Document, if Burros Fries deems it advisable to modify or discontinue the use of any copyrighted materials or trade secrets, franchisees must comply with their directions within a reasonable time after receiving notice from them. This means that Burros Fries has the right to ask franchisees to change or stop using certain materials they provide, and franchisees are obligated to implement those changes promptly.

The FDD emphasizes that Burros Fries retains sole discretion regarding modifications or substitutions of copyrighted materials or trade secrets. While franchisees must comply within a reasonable timeframe, Burros Fries assumes no liability for any costs or losses a franchisee might incur due to these required changes. This could include reprinting menus, changing signage, or retraining staff, all at the franchisee's expense.

This clause is fairly standard in franchise agreements, as franchisors need the flexibility to protect their intellectual property and adapt to market changes or legal challenges. However, it's important for prospective Burros Fries franchisees to understand that they bear the financial risk associated with these changes. Franchisees should clarify with Burros Fries what constitutes a "reasonable time" for compliance and whether any support or financial assistance is available to franchisees required to make such modifications.
