What This Means (2024 FDD)

According to the 2024 Burros Fries Franchise Disclosure Document, the indemnification costs for a franchisee can vary. The FDD indicates that franchisees must protect, defend, indemnify, and hold Burros Fries harmless against any claims, lawsuits, or losses arising from the operation of the franchised business.

The indemnification costs are imposed and collected by Burros Fries and may fluctuate depending on the specific claims, lawsuits, and losses incurred due to the franchisee's business operations. The FDD does not specify a maximum limit for these indemnification costs, meaning the amount could potentially be substantial depending on the circumstances.

This lack of a specified limit means that a Burros Fries franchisee could face significant and unpredictable expenses related to indemnification. It is important for prospective franchisees to fully understand the scope of this obligation and to assess their risk tolerance, as these costs are payable on demand and can vary widely.

Franchisees should consult with legal and financial advisors to evaluate the potential financial exposure associated with the indemnification clause in the Burros Fries franchise agreement. Understanding the types of claims or lawsuits that could trigger indemnification and assessing the potential costs involved is crucial for making an informed investment decision.
