What This Means (2024 FDD)
According to the 2024 FDD, Burros Fries retains specific rights, including the right to develop or associate with concepts other than the franchised business, even those using the Burros Fries system and marks. This means Burros Fries can create other franchise systems, dual-brand concepts, or associate with other businesses, regardless of whether they use the same system or trademarks. They can also award franchises under these other concepts for businesses located anywhere.
This reservation of rights allows Burros Fries to diversify and explore new business opportunities without being restricted by the existing franchise agreements. For a franchisee, this means that Burros Fries could potentially introduce competing brands or systems, which may or may not impact the franchisee's business.
Furthermore, Burros Fries also reserves the right to engage in transactions with other businesses, including those that compete with Burros Fries. These transactions can include mergers, acquisitions, or affiliations, potentially leading to brand conversions to or from the Burros Fries system. Franchisees are obligated to participate in any such conversions at their own expense, as instructed by Burros Fries. This could involve changes to the menu, branding, or operational procedures, and the franchisee would bear the costs associated with these changes.
In summary, while franchisees are granted the right to operate under the Burros Fries system and use its associated names and marks, Burros Fries retains broad rights to develop other concepts, associate with different businesses, and modify its strategies, potentially impacting the franchisees. Prospective franchisees should consider these reserved rights and their potential implications when evaluating the franchise opportunity.
