What This Means (2024 FDD)
According to Burros Fries's 2024 Franchise Disclosure Document, Burros Fries retains the right to acquire, merge, or engage in transactions with other businesses, including those that may be competitive. This includes arrangements where Burros Fries itself is acquired, or where company-owned, franchised, or other restaurants are converted to another format. Burros Fries also reserves the right to acquire similar food establishments, restaurants, or other food service-related businesses, which may be maintained under the Burros Fries system or otherwise.
If such a conversion occurs, the franchisee is expected to fully participate. In the event of a merger or acquisition involving Burros Fries, or the acquisition of a similar business by Burros Fries, the franchisee will be reimbursed for reasonable costs directly related to the conversion. This clause ensures that Burros Fries has the flexibility to grow and evolve its business, even if it means partnering with or acquiring potentially competitive entities.
This right allows Burros Fries to adapt to market changes and potentially integrate new concepts or technologies into its system. While franchisees are required to participate in any conversion and will be reimbursed for reasonable costs, it's important for prospective franchisees to understand that the brand they invested in could change significantly due to these types of transactions. Franchisees should seek clarity on what constitutes 'reasonable costs' in the event of a conversion to fully understand the financial implications.
