You also agree that the Confidential Information is proprietary to us and is disclosed to you solely on the condition that you: (1) will not use the Confidential Information in any other business or capacity; (2) will maintain the absolute confidentiality of the Confidential Information during and after the term of your Franchise Agreement; (3) will not make unauthorized copies of any portion of the Confidential Information disclosed in written or electronic form; and (4) will adopt and implement all reasonable procedures required by us to prevent unauthorized
use or disclosure of the Confidential Information, including without limitation, restrictions on disclosures to employees of your Franchise and any other business(es) owned by you and if you are an Entity, any of your Owners, and the use of nondisclosure and non-competition clauses in employment agreements with your employees and Owners, where enforceable under State law.

What This Means (2024 FDD)
According to the 2024 Burros Fries Franchise Disclosure Document, franchisees must adopt and implement all reasonable procedures required by Burros Fries to prevent unauthorized use or disclosure of confidential information. This includes placing restrictions on disclosures to employees of the franchise, any other businesses owned by the franchisee, and, if the franchisee is an entity, its owners.
To protect Burros Fries' confidential information, franchisees are expected to use non-disclosure and non-competition clauses in employment agreements with their employees and owners, where such clauses are enforceable under state law. This ensures that individuals with access to sensitive information are legally bound to maintain its confidentiality and not compete with Burros Fries, even after they are no longer affiliated with the franchise.
Burros Fries defines confidential information as strategies for site acquisition, build-out and design specifications, menu items, and food presentation standards, photographs of food, proprietary recipes and sauces, specific food preparation techniques, specifications for all products, supplies and kitchen equipment; purchasing strategies, inventory management systems, vendor and supplier relationships, cost and pricing strategies; retail center setup, merchandising strategies, procedures for cleanliness, safety, sanitation and quality control; guest service standards, employee hiring, training and retention guidelines; operational procedures, the Operations Manual and other written materials, software, forms, menus, contracts, record keeping and reporting procedures; sales, promotional, advertising and marketing materials; systems and knowledge of, and experience in, the operation and franchising of a Burros & Fries Business.
