What This Means (2024 FDD)

According to the 2024 Burros Fries Franchise Disclosure Document, each guarantor waives certain notices related to the guaranteed obligations. Specifically, the guarantor waives the right to receive notice of demand for payment of any debt or notice of nonperformance of any guaranteed obligations. This means Burros Fries is not obligated to inform the guarantor that the franchisee has failed to pay or perform before seeking recourse from the guarantor.

Additionally, the guarantor waives protest and notice of default to any party concerning the guaranteed debt or nonperformance. This implies that the guarantor will not be notified if the franchisee defaults on their obligations. The guarantor also relinquishes any right to require Burros Fries to first bring an action against the franchisee or any other person before pursuing the guarantor for fulfillment of the obligations.

Furthermore, the guarantor waives acceptance and notice of acceptance by Burros Fries, notice of demand, and protest and notice of default, except as may be required by the Franchise Agreement. This comprehensive waiver means the guarantor is bound by the guaranty without needing formal acceptance or further notifications, streamlining the process for Burros Fries to enforce the guaranty in case of franchisee default. Prospective franchisees should carefully consider the implications of these waivers before signing the Individual Guaranty, as they significantly impact the guarantor's rights and potential liabilities.
