The Franchise Agreement provides that you will not acquire any interest in the Confidential Information other than the right to utilize it in the development and operation of your Business during the term of your Franchise Agreement, and that the use or duplication of the Confidential Information in any other business would constitute unfair competition. You also agree that the Confidential Information is proprietary to us and is disclosed to you solely on the condition that you: (1) will not use the Confidential Information in any other business or capacity; (2) will maintain the absolute confidentiality of the Confidential Information during and after the term of your Franchise Agreement; (3) will not make unauthorized copies of any portion of the Confidential Information disclosed in written or electronic form; and (4) will adopt and implement all reasonable procedures required by us to prevent unauthorized

What This Means (2024 FDD)
According to Burros Fries's 2024 Franchise Disclosure Document, franchisees are explicitly prohibited from using the Confidential Information in any business other than their Burros Fries franchise. The FDD states that using or duplicating the Confidential Information in another business constitutes unfair competition. This restriction applies during the term of the Franchise Agreement and even after it expires.
The Confidential Information, as defined in the FDD, includes a wide array of proprietary assets, such as strategies for site acquisition, build-out and design specifications, menu items, food presentation standards, recipes, preparation techniques, product specifications, purchasing strategies, inventory management systems, vendor relationships, cost and pricing strategies, retail center setup, merchandising strategies, procedures for cleanliness, safety, sanitation and quality control, guest service standards, employee hiring, training and retention guidelines, operational procedures, the Operations Manual, software, forms, menus, contracts, record keeping and reporting procedures, sales, promotional, advertising and marketing materials, systems and knowledge of, and experience in, the operation and franchising of a Burros & Fries Business.
Burros Fries franchisees must maintain the absolute confidentiality of this information and prevent unauthorized use or disclosure. This includes implementing reasonable procedures, such as non-disclosure and non-competition clauses in employment agreements, where enforceable by state law. The Franchise Agreement specifies that franchisees do not acquire any interest in the Confidential Information beyond the right to use it for their Burros Fries business during the franchise term. This ensures that the brand's proprietary knowledge and systems remain exclusive to the Burros Fries franchise network.
