What This Means (2024 FDD)
According to the 2024 Burros Fries Franchise Disclosure Document, franchisees are expressly prohibited from contesting the validity or ownership of Burros Fries's confidential information, trade secrets, copyrights, and patents. This restriction is a standard clause in franchise agreements, designed to protect the franchisor's intellectual property.
The agreement specifies that Burros Fries owns its confidential information, trade secrets, copyrights, and patent rights. The franchisee's use of these assets does not grant them any ownership or other interest, except for the non-exclusive franchise granted in the agreement. This means a franchisee cannot claim any rights to the brand's recipes, logos, or other proprietary information beyond what is allowed in the franchise agreement.
Furthermore, any goodwill arising from the franchisee's use of Burros Fries's confidential information, trade secrets, copyrights, and patents will solely benefit Burros Fries. Upon the expiration or termination of the franchise agreement, no monetary amount will be assigned to the franchisee for any licensed confidential information, trade secrets, copyrights, and patents. This reinforces that the franchisee is only using these assets under license and does not gain any lasting financial stake in them.
