What This Means (2024 FDD)

According to Burros Fries' 2024 Franchise Disclosure Document, the company reserves the right to direct franchisees to discontinue, modify, substitute, or add Names and Marks. The franchisee is responsible for complying with these directions at their own expense. Burros Fries does not guarantee that modifications or discontinuances won't be required and assumes no liability to the franchisee in such cases. The franchisee agrees not to make any claims related to modifications, discontinuances, or disputes regarding the Names and Marks. There is a possibility that other businesses may have superior rights to similar names and/or marks.

This means that Burros Fries retains significant control over its brand identity and can make changes to its trademarks and branding elements as it sees fit. While this allows Burros Fries to adapt to market changes or legal challenges, it also places a risk on the franchisee, who must bear the costs of implementing these changes. This could involve updating signage, marketing materials, and other branded items, potentially impacting the franchisee's budget and operations.

It is important for prospective Burros Fries franchisees to understand that they do not have ownership of the Names and Marks and that any goodwill generated from their use of the Names and Marks benefits Burros Fries exclusively. Upon termination or expiration of the franchise agreement, no monetary amount will be assigned to the franchisee for any goodwill associated with their use of the System or the Names and Marks. This highlights the importance of carefully considering the terms of the franchise agreement and the potential costs associated with rebranding or discontinuing the use of certain Names and Marks at the direction of Burros Fries.
