To simplify the language in this Disclosure Document, "we," "our," "us" and "BURNEY'S SWEETS & MORE" refer to DMG BURNEY INC. "You" and "your" refer to the person or company that buys the franchise, including, if any, such company's owners, partners, members, shareholders, and guarantors.

THE FRANCHISOR

We are a North Carolina corporation, incorporated under the name "DMG BURNEY INC.," on August 13, 2014. Our principal business address is 1107-C West Broad St., Elizabethtown, North Carolina 28337. We own all of the trademarks you will use in the operation of your BURNEY'S SWEETS & MORE business. Our sole business since inception has been selling BURNEY'S SWEETS & MORE licenses and franchises. Prior to November 2017, we licensed to third parties the right to operate BURNEY'S SWEETS & MORE businesses through a legacy license program no longer being offered. We no longer offer licenses to third-parties, and we offer only BURNEY'S SWEETS & MORE franchises. We operate no business of the type being franchised and have never offered for sale any franchises of any other kind.

PARENTS, PREDECESSORS, AND AFFILIATES

We have no parents or predecessors which are required to be disclosed in this Item. Our affiliate, BURNEY SWEETS & MORE INC. is a North Carolina corporation that was incorporated on July 21, 2011 and has a principal place of business at 106 B Martin Luther King Jr. Dr., Elizabethtown, North Carolina 28337. Since its inception, BURNEY SWEETS & MORE INC. has operated one business of the type being franchised at its principal place of business in Elizabethtown, North Carolina. BURNEY'S SWEETS & MORE INC. previously operated one business of the type being franchised in Southport, North Carolina, but sold the location to us, which we then sold to an unaffiliated third-party in 2016. BURNEY SWEETS & MORE INC. operates no other businesses and has never offered for sale any franchises of any kind.
